Terms of Service
The terms that govern your use of ADS Helpdesk. Last updated May 19, 2026.
1. Agreement
These Terms of Service ("Terms") are a binding agreement between you ("Customer", "you") and ADS Helpdesk Inc. ("ADS Helpdesk", "we", "us"). By creating an account, accessing, or using our service you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.
2. Service description
ADS Helpdesk provides a cloud-based customer support platform including but not limited to omnichannel inbox, AI-assisted replies, SLA tracking, automation rules, role-based access controls, and analytics. Features available to you depend on the subscription plan in effect.
3. Accounts and registration
You must provide accurate, current, and complete information when registering. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at security@adshelpdesk.com of any unauthorized access.
4. Acceptable use
You agree not to:
- Use the service for unlawful, harmful, deceptive, or abusive purposes.
- Send spam, phishing attempts, or content that violates applicable communications laws.
- Reverse engineer, decompile, or attempt to extract source code from the service.
- Interfere with or disrupt the integrity, security, or performance of the service.
- Use the service to compete with us or build a competing product.
- Resell or sublicense access to the service without our written consent.
5. Customer data
You retain all rights to data you submit to the service ("Customer Data"). You grant us a worldwide, royalty-free license to use Customer Data solely to provide the service, prevent or address technical issues, and comply with legal obligations. You are responsible for the accuracy, quality, and legality of Customer Data and for obtaining all necessary consents from end users.
6. Subscription, billing, and plan changes
- Plans: Subscriptions are sold on a monthly or annual basis. Pricing is shown on our Pricing page.
- Auto-renewal: Subscriptions renew automatically unless cancelled at least one day before the renewal date.
- Upgrades: Upgrading takes effect immediately. Prorated charges apply.
- Downgrades: Downgrades take effect at the next billing cycle.
- Failed payments: After a grace period, paid features may be restricted until billing is restored.
- Refunds: Fees are non-refundable except where required by law.
7. Free plan and trials
We may offer free plans, free trials, or promotional credits. Free plans may have feature, storage, or usage limits and may be modified or discontinued at any time. Trials automatically convert to paid plans at the trial end unless cancelled.
8. Service availability
We target 99.9% monthly uptime for paid plans, excluding scheduled maintenance and circumstances beyond our reasonable control. We will use commercially reasonable efforts to provide timely service status updates.
9. Intellectual property
The ADS Helpdesk service, including all software, designs, trademarks, and documentation, is owned by ADS Helpdesk and protected by intellectual property laws. We grant you a non-exclusive, non-transferable license to use the service in accordance with these Terms during your subscription.
10. Confidentiality
Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own (and no less than reasonable care), and not to disclose or use such information except as necessary to perform under these Terms.
11. Termination
You may cancel your subscription at any time from your workspace settings. We may suspend or terminate your access for material breach of these Terms, non-payment, or as required by law. Upon termination, your right to use the service ends immediately. Sections that by their nature should survive termination will survive (including IP, confidentiality, indemnification, limitation of liability).
12. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by law.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Each party's aggregate liability under these Terms will not exceed the amounts paid by Customer to ADS Helpdesk during the twelve months preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold ADS Helpdesk harmless from third-party claims arising from your Customer Data, your use of the service in violation of these Terms, or your violation of applicable law.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Disputes will be resolved by binding arbitration in Wilmington, Delaware, except either party may seek injunctive relief in court for IP or confidentiality violations.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the platform or by email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
